These terms govern use of the Internet discussion forum, The Greenhouse at ADM. To use the forum, you must agree to these terms with Anglican Deaconess Ministries, the organization that runs the forum.
These terms apply only to use of the forum.

1. Definitions

In this document, unless a contrary intention appears:

Account means the account created by ADM for access to the Forum by a Greenhouse Member.

ADM means Anglican Deaconess Ministries Limited (ABN 11 069 533 482).

ADM Purpose means ADM’s purpose as set out in clause 2.1 of the constitution of ADM as amended on 23 November 2023.

ADM Theological Principles means the theological principles set out on the ADM Website at the following URL: What we believe — anglican deaconess ministries.

ADM Website means the website of ADM currently available at https://www.deaconessministries.org.au.

Community Standards means those standards set out in clause 6.

Content Standards means those standards set out in clause 7.

Forum means the online internet discussion forum provided by ADM for Greenhouse Members.

Greenhouse Guild means a group of Christian women with a significant mutual interest, who meet monthly and share a private section of the Forum.

Greenhouse Guild Coordinator or Trainer means a Greenhouse Member who has been endorsed by ADM as a coordinator of a Greenhouse Guild or a trainer of individuals or groups.

Greenhouse Member means a current member of The Greenhouse run by ADM and Greenhouse Membership has a corresponding meaning.

Permitted Purpose means any purpose which in the sole discretion of ADM is ancillary to or otherwise facilitates the operation of the Forum, and otherwise includes a purpose which, in the sole discretion of ADM, furthers the ADM Purpose.

Privacy Policy means the privacy policy adopted by ADM as available on the ADM Website.

The Greenhouse means a community of Christian women facilitated by ADM, including each Greenhouse Guild.

2. Introduction

(a) These terms and conditions (T&Cs) govern the relationship between Greenhouse Members (you, yours, your) who use the Forum and ADM.

(b) You agree that your use of the Forum is subject to each of these T&Cs.

3. Eligibility Criteria

To be eligible to apply to use the Forum, you must:

(a) be a current Greenhouse Member ;

(b) have paid to ADM all your Greenhouse Membership fees ;

(c) consent to comply with each of these T&Cs ;

(d) confirm that all information you have provided for your participation in the Forum is true and accurate, including your email address ;

(e) have no other Account in respect of the Forum.

4. Application Process

(a) You can make an application to use the Forum using the form prescribed by ADM online at the ADM Website.

(b) Your application to use the Forum must be accompanied by any additional evidence required by ADM, including:
(i) in respect of a Greenhouse Guild Coordinator or Trainer, confirmation, in a form satisfactory to ADM, that you are committed to the ADM Theological Principles;
(ii) a statement that you have read and agreed to these T&Cs.

(c) ADM reserves the right to refuse access to its Forum to any applicant in its sole discretion, including if you have previously been found by ADM to be in breach of these T&Cs.

5. General Conditions of Use

In respect of your use of the Forum, you agree to:

(a) only use the Forum for a Permitted Purpose;

(b) comply with any reasonable directions given to you by ADM, any of ADM’s employees, or any Greenhouse Guild Coordinator or Trainer;

(c) comply with each of the Community Standards;

(d) comply with each of the Content Standards;

(e) comply with the Privacy Policy;

(f) comply with all relevant law, instrument, legislation, notice or order affecting the Forum, and that you will not use the Forum for any illegal or noxious purposes;

(g) comply with any reasonable security procedures for access to the Forum, including any protocols issued by ADM in respect of the Forum ;

(h) not do anything in the Forum which (in the sole discretion of ADM) annoys, disturbs or causes nuisance, interference or harm to other Greenhouse Members or users of the Forum;

(i) treat as confidential all information obtained from another Greenhouse Member on the Forum and undertake not to divulge any such information to any other person without first obtaining the consent of the other Greenhouse Member in writing ;

(j) further to subclause 5(i), not take, copy or use any information or intellectual property belonging to ADM, or any other Greenhouse Member, including any confidential or proprietary information, personal names, likenesses, voices, business names, trademarks, logos, other identifiers or other intellectual property, or modified or altered versions of the same;

(k) not share your password, give access to (or transfer through any means) your Account to any other person or transfer your Account to anyone else (without the prior written consent of ADM);

(l) not use or attempt to use the Account of another Greenhouse Member without their prior consent;

(m) not send advertisements, chain letters, or other solicitations through the Forum, or use the Forum to gather addresses or other personal data for commercial mailing lists or databases;

(n) not use the Forum to send email to distribution lists, newsgroups, or group mail aliases;

(o) not falsely imply that you are affiliated with or endorsed by ADM;

(p) not disable, avoid, or circumvent any security or access restrictions of the Forum;

(q) not do anything which, in the sole discretion of ADM, will cause strain to the infrastructure of the Forum, including by making an unreasonable volume of posts;

(r) not impersonate other Greenhouse Members through the Forum;

(s) report content or conduct that you believe violates your rights (including intellectual property or confidentiality rights) or these T&Cs;

(t) not encourage or help anyone in violation of these T&Cs; and

(u) not perform any activity that is, in the sole discretion of ADM, reasonably likely to be disruptive, damaging or dangerous to ADM, ADM’s employees or agents, other Greenhouse Members (or Forum users), or any other third parties.

6. Community Standards

In respect of your use of the Forum, you agree to (in the sole discretion of ADM) be:

(a) welcoming and polite to all Greenhouse Members;

(b) respectful and open-minded in all interactions with other Greenhouse Members;

(c) supportive and encouraging of all Greenhouse Members.

7. Content Standards

You agree that you will not submit content to the Forum that:

(a) is, in the sole discretion of ADM, obscene, offensive, defamatory, racist, misleading or deceptive or otherwise harmful to other people (whether Greenhouse Members or not), or assist someone else in using the Forum in such a way;

(b) violates any relevant law, infringes any person’s intellectual property rights, violates any person’s privacy, or breaches agreements you have with another person;

(c) contains malicious computer code, such as computer viruses or spyware;

(d) discloses information that you do not have the right to disclose, such as the confidential or personal information of another person.

8. Account

(a) You must at all times satisfy the eligibility criteria set out at clause 3 of these T&Cs to use an Account.

(b) You may delete your Account at any time by notifying ADM by email at hello@thegreenhouse.digital.

(c) You are responsible for keeping your Account login information, including your password, safe and must not disclose it to any third party. If you believe or suspect that unauthorised use of your Account has taken place, you will notify ADM immediately by contacting the Director of The Greenhouse at hello@thegreenhouse.digital.

(d) ADM accepts no liability for acts carried out by any person using your Account. You indemnify ADM from any costs, expenses or damages arising in connection with any misuse of your Account.

(e) You agree to indemnify ADM if loss or damage occurs as a result of breaching any of these T&Cs.

(f) If ADM in its sole discretion considers that you are in breach of any of these T&Cs, or that your Account has been compromised, it may take reasonable action including suspension or cancellation of your Account with no notice.

(g) Where ADM takes such action as described in clause 8(f), ADM will let you know and explain any options you have to request a review, unless doing so may:
(i) expose ADM or others to legal liability;
(ii) harm Greenhouse Members or other users of the Forum; or
(iii) compromise or interfere with the integrity or operation of any of ADM’s services or systems.

9. Non-compliance

(a) If you do not comply with any of the provisions of these T&Cs, then without affecting any other right, ADM may remedy the non-compliance without giving notice to you and you must reimburse ADM for any reasonable costs incurred in doing so.

(b) ADM reserves the right to remove or edit any content posted to the Forum in its sole discretion and without notice.

10. Fees

(a) You must pay any Greenhouse Membership fees to ADM’s nominated bank account in advance of your use of the Forum.

(b) Whether payment has been received by ADM in accordance with clause 10(a) is determined solely by ADM.

11. Greenhouse Guilds

(a) You agree that you will treat as confidential all information obtained from another Greenhouse Member in your relevant Greenhouse Guild and undertake not to divulge any such information outside the Greenhouse Guild, to any other person (including to any Greenhouse Member that is not a member of your Greenhouse Guild) without first obtaining the consent of that other Greenhouse Member in writing.

(b) ADM does not guarantee continuous operation of a Greenhouse Guild.

(c) ADM may, in its sole discretion, suspend or cancel a Greenhouse Guild without notice.

12. Your Content

(a) For the purposes of these T&Cs, intellectual property rights include but are not limited to patents, copyright, rights in circuit layouts, registered and unregistered designs, registered and unregistered trademarks, know-how and the right to have confidential information kept confidential and also includes any application or right to apply for registration of any of the rights just referred to.

(b) Nothing in these T&Cs gives ADM any intellectual property rights in respect of information that you share on the Forum.

(c) Nothing in these T&Cs gives you any intellectual property rights in respect of information that is shared on the Forum by another Greenhouse Member or by ADM.

(d) ADM is not obliged to store, maintain, or provide copies of content you submit to the Forum.

(e) You remain solely responsible for content you submit to the Forum.

(f) You license ADM to provide content that you submit to the Forum to other Greenhouse Members.

(g) When content you submit to the Forum is removed from the Forum, whether by you or by ADM, the license ends when the last copy disappears from ADM’s backups, caches, and other systems.

(h) You agree that ADM is not liable to you for any breach of these T&Cs by another Greenhouse Member.

13. Disclaimer

(a) You accept all risk of using the Forum and content on the Forum. As far as the law allows, ADM provides the Forum as is, and provides you with no warranty or guarantee in respect of it.

(b) The Forum may contain hyperlinks to and integrate forums and services run by third parties. ADM does not make any warranty about services run by third parties, or content they may provide.

(c) ADM will make reasonable efforts to maintain the performance and availability of the Forum, but do not guarantee continuous operation of the Forum or the integrity of the data stored or transmitted in or through the Forum.

14. Security and Privacy

(a) ADM is committed to ensuring that your information is secure. In order to prevent unauthorised access or disclosure, ADM has put in place appropriate measures to safeguard and protect the information collected online via the Forum.

(b) ADM will have access to personal information about you, such as your name and address. ADM will only use, disclose and deal with your personal information in accordance with its Privacy Policy.

15. Liability

(a) You release ADM from, and indemnify ADM against, any loss or liability arising from or costs incurred in connection with these T&Cs or your use of the Forum, including damage to or destruction of any property, injury to any person or their death, anything ADM is permitted or required to do under these T&Cs and anything you are required to do under these T&Cs. You must not make a claim against ADM or terminate these T&Cs (or attempt or purport to do so) in connection with anything in this clause 15(a).

(b) However, the release and prohibitions in clause 15(a) do not apply to the extent that the relevant loss, liability or cost is caused or contributed to by ADM’s negligence (or the negligence of the relevant officer, employee, contractor or agent).

16. Termination

(a) Either party may end the agreement set out in these T&Cs at any time effective immediately by providing the other party with written notice. Your permission to use the Forum ends when this agreement ends.

(b) The following provisions survive the end of our agreement: clauses 5, 8, 9, 12, 13, 14, 15.

17. Disputes

Any claim, cause of action or dispute that arises out of these T&Cs shall be governed by and construed in accordance with the laws of New South Wales and Australia, and all proceedings relating to the subject matter hereof shall be maintained exclusively in the courts situated in New South Wales, and the parties hereby submit to the non-exclusive jurisdiction of the courts of New South Wales and hereby waive, without limitation, any claim or objection based on absence of jurisdiction or inconvenient Forum.

18. Updating T&Cs

(a) ADM may update these T&Cs from time to time.

(b) ADM will provide you with reasonable notice of any such changes to these T&Cs (for example, by email or through the Forum).

(c) Once any updated T&Cs are in effect, you will be bound by them if you continue to use the Forum.

19. Entire Agreement

These T&Cs make up the entire agreement between you and ADM regarding your use of the Forum. They supersede any prior agreements.

20. Enforceability

If any portion of these T&Cs is found to be unenforceable, the unenforceable portion will be deemed amended to the minimum extent necessary to make it enforceable, and if it can’t be made enforceable, then it will be severed and the remaining portion will remain in full force and effect. If ADM fails to enforce any of these T&Cs, it will not be considered a waiver. Any amendment to or waiver of these T&Cs must be made in writing by ADM.

21. Notices

(a) You may notify, and send questions to, ADM under these T&Cs, by email to hello@thegreenhouse.digital.

(b) ADM may notify you under these T&Cs using the email address you provide for your Account, by posting a message to the main feed of the Forum or by sending a message to your Account through the Forum messaging service.
